WEBSITES FOR SCHOOLS
These Terms and Conditions apply to the provision of website design, build, hosting, maintenance and related digital services trading as Websites for Schools, a service provided by Broadsword UK Ltd. They supersede any previous agreements or understandings and may only be varied in writing.
- DEFINITIONS
(a) “Seller” means Broadsword UK Ltd trading as Websites for Schools.
(b) “Buyer” means the school, academy, trust or organisation contracting with the Seller.
(c) “Services” means all website-related services supplied by the Seller including (but not limited to) website design, development, hosting, content updates, maintenance, support and consultancy.
(d) “Website” means the website or websites created, hosted or maintained by the Seller for the Buyer.
(e) “Content” means all text, images, video, documents, logos and other materials supplied by the Buyer or created by the Seller for use on the Website.
(f) “Electronic Files” means any data or files supplied or produced in digital form.
(g) “Subscription Fee” means the agreed monthly fee of £59.00 + VAT (unless otherwise agreed in writing).
(h) “Insolvency” means the Buyer being unable to pay its debts, entering administration, liquidation, receivership or similar proceedings.
- PAYMENT
(a) The Services are provided on a monthly subscription basis unless otherwise agreed in writing.
(b) All prices are exclusive of VAT, which shall be payable at the prevailing rate.
(c) The Subscription Fee is payable monthly in advance.
(d) The Seller reserves the right to request payment by standing order or direct debit.
(e) Any additional work outside the agreed scope (including but not limited to significant redesigns, additional functionality, or large-scale content uploads) may be quoted and charged separately.
(f) If any invoice remains unpaid after the due date, the Seller reserves the right to charge interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 and to suspend Services until payment is made.
(g) Continued non-payment may result in termination of Services and suspension of the Website.
- TERM, NO CONTRACT AND TERMINATION
(a) The Services are provided on a no‑contract, rolling monthly basis.
(b) There are no setup fees and no minimum term unless otherwise agreed in writing.
(c) The Buyer may cancel the Services at any time by providing written notice to the Seller. Cancellation will take effect at the end of the current paid billing month.
(d) The Seller may terminate the Services at any time by providing 30 days’ written notice to the Buyer.
(e) The Seller may terminate immediately if the Buyer becomes Insolvent or is in material breach of these Terms.
(f) On cancellation or termination, the Website may be taken offline unless alternative hosting or handover arrangements are agreed in writing.
- WEBSITE DELIVERY AND TIMESCALES
(a) Any timescales provided for website build or updates are estimates only.
(b) The Seller will use reasonable endeavours to meet agreed timescales but time is not of the essence.
(c) Delays caused by late or incomplete Content or instructions from the Buyer may result in revised delivery dates.
- CONTENT SUPPLIED BY THE BUYER
(a) The Buyer is responsible for ensuring that all Content supplied is accurate, lawful, and compliant with applicable regulations (including safeguarding, GDPR and accessibility guidance).
(b) The Seller shall not be responsible for checking the legal accuracy of Content supplied by the Buyer unless otherwise agreed in writing.
(c) The Buyer warrants that it owns or has permission to use all Content supplied and indemnifies the Seller against any third-party claims.
- INTELLECTUAL PROPERTY
(a) Upon payment of all fees due, the Buyer is granted a licence to use the Website and Content for its own purposes.
(b) Unless otherwise agreed, the Seller retains ownership of underlying code, frameworks and development tools.
(c) The Seller may showcase the Website in its portfolio unless the Buyer requests otherwise in writing.
- HOSTING, MAINTENANCE AND SUPPORT
(a) Hosting and routine maintenance are included within the Subscription Fee unless stated otherwise.
(b) The Seller does not guarantee uninterrupted availability of the Website but will use reasonable efforts to maintain uptime.
(c) Planned maintenance or emergency updates may result in temporary downtime.
- LIABILITY
(a) The Seller’s liability for any claim arising out of the Services shall be limited to the fees paid by the Buyer in the preceding 3 months.
(b) The Seller shall not be liable for indirect or consequential loss, loss of data, loss of profits or reputational damage.
(c) Nothing in these Terms excludes liability for death or personal injury caused by negligence.
- DATA PROTECTION
(a) Each party shall comply with applicable data protection legislation including UK GDPR.
(b) The Buyer remains the data controller for all personal data published on the Website.
- FORCE MAJEURE
The Seller shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to power failure, internet outages, cyber incidents, or acts of God.
- GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the English courts.
- GENERAL
(a) These Terms constitute the entire agreement between the parties.
(b) If any provision is held to be unenforceable, the remaining provisions shall remain in force.
(c) Nothing in these Terms affects the statutory rights of consumers.
WEBSITE DISCLAIMER
The information provided on Websites for Schools is for general information purposes only. While we endeavour to keep content accurate and up to date, we make no warranties regarding completeness or suitability. Use of the Website is at the Buyer’s own risk.
The Seller is not responsible for external websites linked from the Website and does not endorse their content. Temporary unavailability due to technical issues may occur and does not constitute a breach of contract.
OFFER TERMS (WHERE APPLICABLE)
• Offers cannot be used in conjunction with any other promotion.
• Offers are non-transferable and may be withdrawn at any time.
• Any misuse may result in withdrawal of the offer.
